Introduction

Welcome to Le Medica Health Tech Sdn Bhd (“Le Medica”, “we”, “our” or “us”). These Terms and Conditions (“Terms”) govern your access to and use of our medical tourism booking platform (the “Platform”). By accessing or using our Platform, you agree to be bound by these Terms. If you do not agree, you should not use the Platform. If you are under 18 years of age, you may use the Platform only with the involvement and consent of a parent or legal guardian.

Platform Overview: Le Medica operates an online marketplace that connects patients (“you” or “Users”) with third-party service providers, including medical service providers (such as hospitals, clinics, doctors) and non-medical providers (such as hotels, transportation, or other travel services). We act solely as a facilitator for booking and communication; Le Medica is not a healthcare provider or travel agency, and we do not provide medical treatments or travel services ourselves. Our Platform allows you to find and book services offered by third parties, but any actual contract or provision of services is between you and the third-party provider. Le Medica’s role is limited to providing the Platform for information and booking convenience.

1. Using the Platform and User Responsibilities

  • Account Registration: You may be required to create an account or provide
personal information to use certain features of our Platform. You agree to provide accurate, current, and complete information and to keep it updated. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
  • Personal Use Only: The Platform is intended for individual patients (or their
authorized representatives) to arrange their own medical travel plans. By using our Platform, you represent that you are acting on your own behalf (or on behalf of a dependent with proper authority) for the purpose of seeking services for yourself. You agree not to misrepresent your identity or seek services for third parties without disclosure. Independent Decision-Making: Any booking or decision to engage a provider through our Platform is made solely at your own discretion and risk. You are expected to evaluate the information and make an independent determination that a particular medical or non-medical service is appropriate for you. You agree

not to hold Le Medica liable for your choice of provider or any outcomes of services, as Le Medica is not the entity providing the treatment or service.

  • Medical Requirements: You are responsible for ensuring that you meet any
medical or travel prerequisites for the services you plan to receive. This includes obtaining proper medical advice from your personal physician before traveling, confirming that you are fit for travel or surgery if applicable, and securing any necessary medical records or clearances. Always seek the advice of your physician or qualified health provider with any questions you have regarding a medical condition or treatment; never disregard professional medical advice because of something you read on our Platform.
  • Travel Documents and Legal Compliance: You are responsible for obtaining
and carrying valid passports, visas, or other travel documents, and for complying with the laws of Malaysia, Thailand, or any other destination you travel to for services. Le Medica is not responsible if you are unable to obtain travel documents or if you violate any laws or regulations.
  • Conduct: You agree to use the Platform only for lawful purposes. Do not use the
Platform in any manner that could damage, disable, overburden, or impair our services, or interfere with any other party’s use and enjoyment of the Platform. You also agree not to engage in any harassing, threatening, or inappropriate behavior towards providers, other users, or our staff.

2. Nature of Services – Marketplace Platform

Intermediary Role: Le Medica provides a venue for you to learn about third-party medical and wellness services, and to arrange bookings. We do not provide medical advice, diagnosis, treatment, or clinical services ourselves. Any information on our Platform (including treatment descriptions, provider qualifications, pricing, or reviews) is provided for general informational purposes and convenience. While we strive to present accurate and up-to-date information, we cannot guarantee the completeness, accuracy, or reliability of any content provided by third-party providers.

Providers are independent entities; we do not have control over the quality, timing, legality, suitability, or safety of the services they offer.

No Endorsement: The inclusion of any medical procedure, hospital, clinic, doctor, wellness retreat, hotel, or other service on our Platform does not constitute an endorsement or recommendation by Le Medica. We make no representations or promises about the effectiveness, suitability, or quality of any procedures, products, services, or devices that may be described or advertised on the Platform. Any ratings, reviews, or testimonials on our site are individual opinions and should not be considered medical or professional advice.

No Doctor-Patient Relationship with Le Medica: Using our Platform or communicating with a provider through our Platform does not establish a doctor- patient or medical professional-patient relationship between you and Le Medica. Le Medica is not a party to the medical services you may ultimately receive. Any medical practitioner-patient relationship is solely between you and the chosen provider. We facilitate initial contact and bookings, but all diagnosis, treatment, and medical decisions are made by the provider and you, without any involvement of Le Medica.

Third-Party Provider Terms: When you book a service with a third-party provider (medical or non-medical) through our Platform, you are entering into a separate agreement with that provider. That agreement will be subject to the provider’s own terms and conditions, consent forms, policies, and procedures (including those related to payments, cancellations, refunds, or treatment plans). It is your responsibility to review and agree to the provider’s terms. Le Medica is not a party to and has no control over those separate agreements. If you have any issues or disputes regarding the service provided (e.g. medical malpractice, complications, travel accommodations, etc.), you must address those with the respective provider directly.

3. Booking Process and Payments

Booking Facilitation: Our Platform enables you to submit inquiries, request quotes, and make bookings with third-party providers. When you use our Platform to request a booking:

  • Quotes and Information: You may need to provide personal details and
information about your medical condition or travel needs to obtain an accurate quote (e.g. description of desired treatment, medical history, preferred travel dates). You agree that any information you provide is truthful and accurate, and you consent to our sharing of relevant information with the chosen provider to facilitate your request.
  • Confirmation of Booking: Upon selecting a provider and service, our Platform
may enable you to confirm a booking or reservation. The confirmation details (such as date, time, included services, and price) will typically be provided by the provider. We will communicate confirmation or any requirements via email or through your account. However, the final responsibility for honoring the booking lies with the provider, not Le Medica. We do not guarantee that any particular provider will accept your booking request or that the service will ultimately be available.

Deposits and Payments: In general, payments for the core medical or travel services are made directly between you and the provider at the time of service or as required by the provider. Le Medica’s Platform itself is primarily a booking and information service, and Le Medica is not usually the recipient of the payments for third-party services. However, there are certain instances where we may handle funds on a provider’s behalf or offer paid products on our Platform:

  • Deposits for Bookings: For some bookings, providers may require a deposit to
secure your reservation (for example, a portion of the treatment cost, or a booking fee). Our Platform may facilitate the collection of such deposit payments. In those cases, Le Medica acts as a limited payment agent for the provider, collecting the deposit from you and forwarding it to the provider (or holding it for release to the provider under the agreed conditions). We will inform you during the booking process if a deposit is required and the amount. Any deposit is subject to the provider’s cancellation and refund policy, which will be communicated to you. Le Medica does not retain these deposits as our own funds (aside from any service fee disclosed); we merely transmit them. We are not responsible for any disputes regarding deposit refunds – those must be resolved between you and the provider, according to the provider’s policies. We may assist in communications for resolution but do not guarantee any outcome.
  • LMPass Vouchers: Le Medica may offer a proprietary coupon or voucher
system (e.g., LMPass vouchers) that you can purchase through our Platform. These vouchers can be redeemed for certain services or discounts with participating providers. When you purchase an LMPass or similar voucher from Le Medica, you are paying Le Medica for that voucher product. We will provide terms and conditions specific to the voucher (such as its value, applicable services or providers, expiration date, and any usage restrictions) at the time of purchase. Please review those voucher terms carefully. In general, vouchers are non-transferable and non-refundable once purchased, except as stated in the voucher terms or required by law. Le Medica is responsible for delivering the voucher code or confirmation to you, but the ultimate fulfillment of services using the voucher is still between you and the provider. We do not assume liability for a provider’s refusal to honor a voucher unless it results from an error on our part.
  • Service Fees: Using the Platform to search and inquire is typically free for
Users. Le Medica may charge a service fee or include a margin in certain transactions (for example, an administration fee included in a deposit, or the price of an LMPass voucher above its face value). Any such fees will be disclosed to you before you complete a booking or purchase. By proceeding with

the booking or purchase, you agree to pay those fees. These fees help us operate the Platform and provide customer support.

Payment Processing: Whenever you make a payment through our Platform (whether for a deposit, a voucher, or any other service we offer), you agree to use a valid payment method. We may use third-party payment processors to handle transactions securely. All payment information (e.g. credit card details) you provide will be processed according to our Privacy Policy and the payment processor’s security protocols. We do not store full financial information on our systems beyond what is necessary for record-keeping. You are responsible for any bank fees, currency conversion charges, or similar charges that may apply to your payments.

Taxes: Depending on the service and jurisdiction, taxes (such as sales tax, VAT, etc.) may be applicable to your transaction. Any applicable taxes will either be included in the price or listed separately. You are responsible for paying all taxes associated with the services you purchase through the Platform, as required by the governing tax laws.

Cancellation and Changes: If you need to cancel or modify a booking, you must refer to the cancellation policy of the respective provider. Providers have their own rules regarding cancellations, no-shows, rescheduling, and refunds. For example, a hospital might refund a deposit only if cancellation is made at least two weeks in advance, or a hotel might charge one night’s fee for a no-show. It is your duty to understand those terms. Le Medica is not responsible for refunds or penalties due to cancellations or changes; however, we will facilitate communication between you and the provider if you need assistance. If you purchased an LMPass voucher and need to cancel the underlying service, the terms of the voucher and the provider’s policy will determine if you can reuse or refund the voucher.

4. Third-Party Medical Providers – No Medical Liability

Independent Medical Providers: All doctors, dentists, surgeons, clinics, hospitals, or other medical professionals (“Medical Providers”) available through our Platform are independent third parties. Le Medica does not practice medicine or provide medical consultations. We do not supervise, direct, or control the Medical Providers, and we make no warranties or representations regarding their qualifications, expertise, quality of work, or the outcomes of any treatment they provide. Information about Medical Providers (such as degrees, specializations, years of experience, patient reviews) is provided by the providers themselves or collected from publicly available sources for your convenience. While we strive to verify basic credentials of listed providers, Le Medica cannot guarantee that all information is correct, complete, or up-to-date. You are encouraged to perform your own due diligence on any Medical

Provider you consider. This may include consulting medical boards, reading independent reviews, or seeking opinions from your local physician.

No Medical Advice: Any content on our Platform related to medical treatments, procedures, symptoms, or any health-related information is general in nature and for informational purposes only. Such content is not a substitute for professional medical advice, diagnosis, or treatment. The Platform may allow Medical Providers to answer questions or publish articles; however, these interactions do not create a personal medical consultation. Always seek the advice of a qualified health provider with any questions about a medical condition. Never disregard or delay seeking professional medical advice because of something you have read on our Platform. If you think you may have a medical emergency, call your doctor or the local emergency number immediately. Le Medica does not guarantee the availability or responsiveness of any particular Medical Provider on our Platform for urgent needs.

No Endorsement of Medical Services: The availability of any specific procedure or the presence of any particular Medical Provider on our Platform does not constitute an endorsement or guarantee by Le Medica that the procedure is safe, effective, or suitable for you. Any claims made by Medical Providers about outcomes or success rates are their own, not Le Medica’s. You acknowledge that all medical procedures carry risks, and outcomes can vary for each individual. You assume full responsibility for consulting with the Medical Provider and understanding the risks and benefits of any procedure you elect to undergo. Le Medica strongly advises you to have a direct consultation (even if virtual) with the Medical Provider before traveling, to ensure you have personalized advice and full information.

Medical Provider Agreements: When you decide to receive treatment from a Medical Provider, you will likely be required to sign the provider’s own patient agreement or consent forms. Those agreements will govern your relationship with the Medical Provider, including potential liability, informed consent for treatment, and how complications or follow-up care are handled. Le Medica is not involved in that agreement and does not influence any medical advice or decisions. Any claims for malpractice, professional negligence, or dissatisfaction with medical treatment are strictly between you and the Medical Provider. Le Medica assumes no liability for any injury, complication, or adverse outcome you may experience before, during, or after any medical treatment booked through our Platform. This includes, without limitation, liability for medical malpractice claims, incorrect diagnoses, surgical errors, or any consequences of your medical travel (such as travel-related illness or accidents).

5. Third-Party Non-Medical Services

In addition to medical treatments, the Platform may list or facilitate bookings for non- medical services relevant to medical tourism. These can include hotels or other accommodations, transportation (such as airport transfers, car rentals, drivers), tour packages, translators, wellness or recuperative retreats, and other travel or hospitality services (“Non-Medical Services”). All such services are provided by independent third-party companies or individuals (“Non-Medical Providers”).

No Agency or Guarantee: Le Medica is not a travel agency or transportation carrier, and we do not employ or supervise the Non-Medical Providers listed on our site. Just like with Medical Providers, any booking of Non-Medical Services is solely a contract between you and the Non-Medical Provider. We provide information and booking tools, but we do not guarantee the performance, safety, or quality of any hotel, transportation, or other service. For example, we cannot guarantee that a hotel will match its star rating or that a driver will always be on time. Any issues or incidents (like lost baggage, service disruptions, accidents, or dissatisfaction) are to be resolved between you and the provider of that service.

Provider Terms: Non-Medical Providers will have their own terms of service or usage (for instance, a hotel’s check-in requirements, cancellation policy, or a transport service’s liability waiver). When you book such services via our Platform, you are also agreeing to the Non-Medical Provider’s terms in addition to Le Medica’s Terms. Those terms could include important details like cancellation fees, refund eligibility, and liability limitations for that provider. It is your responsibility to review any terms provided by the Non-Medical Provider. If the provider’s terms are made available through our Platform at booking, you should read them; if not, you may ask the provider for their terms. Le Medica does not assume any responsibility for a provider’s failure to honor their terms, but we will attempt to assist you in resolving issues if feasible.

Travel Risks: By using our Platform to arrange travel-related services, you acknowledge that travel involves inherent risks, especially when traveling abroad. These include risks of flight delays or cancellations, political or civil disturbances, natural disasters, pandemics, lost luggage, or simply that a hotel or service may not meet expectations. You assume all such risks. We highly recommend that you consider obtaining appropriate travel insurance that covers medical treatment abroad, trip cancellations, and unexpected events, as an added protection. Le Medica’s Platform might provide general advice or checklists for travelers (for example, vaccination recommendations or travel advisories), but this information is not specific to your situation and may not be up to date. Always verify critical travel information with official sources (e.g., government travel advisories, airlines, or your travel agent).

No Liability for Non-Medical Services: Similar to medical bookings, Le Medica shall not be liable for any injury, loss, damage, or inconvenience arising from Non- Medical Services you book through the Platform. This includes, for example, if a hotel is overbooked and cannot honor your reservation, if a transportation service is canceled or causes you to miss a medical appointment, or if any tour or recovery retreat does not meet your expectations. Any demands for refunds or compensation must be directed to the responsible Non-Medical Provider, not to Le Medica.

6. Disclaimer of Warranties

Platform “As-Is”: Le Medica provides the Platform, its content, and its services on an “as is” and “as available” basis, without any warranties of any kind, unless otherwise expressly stated. Use of the Platform is at your own risk. We do not warrant that the Platform will be uninterrupted, error-free, secure, or free of viruses or other harmful components.

Information Accuracy: While we endeavor to keep information on the Platform updated, we do not warrant or guarantee the accuracy, reliability, or completeness of any information or content (including descriptions of medical procedures, availability of services, pricing, or provider credentials). Content may be contributed by third parties (providers or other users), or obtained from what we believe are reliable sources, but inaccuracies or errors can occur. It is your responsibility to verify information directly with the provider or through independent sources before relying on it.

No Warranty on Outcomes: Le Medica makes no guarantees or warranties regarding the results or outcomes of any services obtained through the Platform. All medical procedures carry risks and no procedure has a guaranteed outcome. Similarly, no travel or hospitality service can be guaranteed to meet all expectations. Any statements on our Platform (e.g., “high success rate” or “fast recovery” or user testimonials) are not promises of your personal results. Providers and services are not under our control, thus we disclaim any warranty that any third-party service will be fit for your purpose, available at the time you desire, provided with due skill and care, or comply with any descriptions on our Platform.

Professional Accreditation: We do not warrant that any medical professional or facility on our Platform is licensed, certified, or in compliance with laws in your home country. We may note if a provider is accredited by certain organizations or authorities, but we do not independently verify every claim of accreditation or license. You should perform your own checks if this is important to you.

General Disclaimer: TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, LE MEDICA DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, in connection with the Platform and any services you may book through it. This includes, but is not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranty that may arise from course of dealing or usage of trade. No advice or information, whether oral or written, obtained from Le Medica or through the Platform, shall create any warranty not expressly stated in these Terms.

7. Limitation of Liability

No Indirect Damages: Under no circumstances will Le Medica, its directors, officers, employees, agents, or affiliates be liable to you for any indirect, incidental, special, consequential, or exemplary damages arising out of or in connection with your use of the Platform or any services booked through the Platform. This includes, without limitation, damages for loss of profits, loss of data, personal injury, wrongful death, emotional distress, pain and suffering, or similar harm, whether based on warranty, contract, tort (including negligence), or any other legal theory. Le Medica will not be responsible for any cost of substitute services, cancellation fees, or for delay or failure in performance resulting from causes beyond our reasonable control.

Cap on Liability: To the extent that any liability is not legally excludable, the total liability of Le Medica to you for all claims arising out of your use of the Platform or any service obtained through the Platform is limited to the greater of: (a) the total amount of fees you paid to Le Medica for the use of the Platform or any services in the six months prior to the event giving rise to the liability, or (b) USD $100 (or the equivalent in local currency). For clarity, if you have not paid any fees to Le Medica (for example, if you only browsed or made bookings where we did not charge you), Le Medica’s liability in such case will be zero or the minimum amount permitted by law. This limitation reflects the allocation of risk between you and us as the intermediary facilitating your connection with third-party providers.

Third-Party Liability: Le Medica assumes no liability for the acts or omissions of third-party providers, as they are independent parties over whom we have no control. This means that Le Medica is not liable for any harm, injury or loss you may suffer at the hands of any Medical Provider or Non-Medical Provider you connect with via our Platform. We do not own or operate hospitals, clinics, airlines, hotels, or other service providers, and merely facilitate your interactions with them. Your sole recourse for unsatisfactory or harmful services is against the specific provider who provided that service, not Le Medica. Additionally, any content or websites that are

linked from our Platform (for example, a provider’s own website or a travel insurance site) are not under our control; we are not responsible for any content on external sites or any dealings you have with third parties outside of our Platform.

Local Law Exception: Some jurisdictions do not allow the exclusion of certain warranties or the limitation/exclusion of liability for certain types of damages. To the extent that these laws apply to your use of our Platform (for example, if you are considered a consumer under specific consumer protection laws in Malaysia or Thailand), some of the exclusions and limitations in these Terms may not apply to you. In such cases, Le Medica’s liability will be limited to the maximum extent permitted by applicable law.

8. Indemnification

You agree to indemnify, defend, and hold harmless Le Medica Health Tech Sdn Bhd, its owners, directors, officers, employees, affiliates, agents, and partners from and against any and all claims, demands, lawsuits, investigations, liabilities, damages, losses, or expenses (including reasonable attorneys’ fees and costs) arising out of or related to: (a) your use of the Platform or any services booked through the Platform, (b) your breach or violation of these Terms or of any applicable law or regulation, or (c) your infringement of the rights of any third party (such as intellectual property or privacy rights) or any act or omission by you that results in harm to a third party, or (d) any dispute between you and a provider (medical or non- medical) or other third party as a result of a booking or interaction through our Platform.

For example, if you post content on our Platform (like a review) that violates someone’s rights or if you fail to pay a provider and that provider seeks compensation from Le Medica, you would be responsible for any costs and damages incurred by Le Medica due to your conduct. We reserve the right to assume the defense and control of any matter subject to indemnification by you, in which case you agree to cooperate with us in asserting any available defenses. This indemnity obligation will survive the termination of your use of our Platform and these Terms.

9. Intellectual Property and Content Use

Platform Content: All content and materials available on the Platform – including but not limited to text, graphics, logos, icons, images, audio clips, videos, data compilations, software, and layout/design elements – are the property of Le Medica or its content suppliers and are protected by intellectual property laws. Le Medica’s name, logo, and all related names and logos are trademarks of Le Medica (unless otherwise noted). You are not granted any license or rights to use any trademarks, logos, or content of

Le Medica or third parties displayed on the Platform, except as expressly provided in these Terms.

Permitted Use: You may access and use the Platform and its content solely for your personal, non-commercial purposes (for example, to research and book a medical trip for yourself). You may not copy, reproduce, modify, distribute, create derivative works from, publicly display, or publicly perform any content from our Platform without our prior written permission, except for your own personal, non-commercial use. Any unauthorized use of the Platform or its content may violate copyright, trademark, and other laws.

User Content: If our Platform allows users to post or submit content (such as reviews, questions, or feedback), you retain ownership of any intellectual property rights in the content you create. However, by submitting content on our Platform, you grant Le Medica a non-exclusive, worldwide, royalty-free, perpetual license to use, reproduce, modify, adapt, publish, translate, distribute, and display such content in connection with operating and promoting the Platform. We may use your feedback or suggestions without obligation to you. You agree not to upload or post any content that is illegal, defamatory, infringing, harassing, or otherwise objectionable. We reserve the right to remove any user content that violates these Terms or our policies.

Third-Party Content: Some information on our Platform is provided by third parties, including providers or other users. For example, provider profiles or articles might be written by those providers, and our Platform may also contain links to third-party websites. Le Medica is not responsible for third-party content or websites. Following a link to any external site is at your own risk, and you should review the terms and policies of any site you visit. We do not guarantee that any third-party content is free from errors or omissions, and we are not liable for any third-party content that may be misleading, false, or offensive. If you notice content on our Platform that you believe infringes your intellectual property or violates any law, please notify us so that we can review and address it appropriately.

10. Privacy and Data Protection

Your privacy is very important to us. Our Privacy Policy explains in detail how we collect, use, store, and protect your personal information when you use our Platform. By using the Platform, you agree to the collection and use of information in accordance with our Privacy Policy. In particular, given the sensitive nature of medical data, we will only collect and process your health-related information with your explicit consent and as necessary to provide our services. We implement industry- standard security measures to safeguard your data, but you acknowledge that no

system is completely secure. Please review the Privacy Policy for information on topics such as:

  • What data we collect (e.g. personal identification details, medical information you
provide, travel preferences, etc.) and why we collect it (e.g. to facilitate bookings, to communicate with providers, etc.).
  • How we share data with third parties like the providers you choose (both medical
and non-medical), and other service providers (such as payment processors or IT support), including cross-border transfers of data as needed to Malaysia, Thailand, or other jurisdictions where our partners operate.
  • Your rights over your data, such as the right to access or correct your
information, withdraw consent for certain processing, or request deletion, in accordance with applicable privacy laws.
  • Use of cookies or similar technologies on our website for functionality and
analytics (if applicable).

By using our Platform, you acknowledge that you have read and understood our Privacy Policy. If you do not agree with our data practices, please do not use the Platform.

11. Termination

Termination by You: You are free to stop using our Platform at any time. If you wish to delete your account or have your personal data removed, you may contact us (see our Privacy Policy for data deletion rights). Terminating your account will not automatically cancel any confirmed bookings you have already made with providers, so you will need to handle cancellations directly with the providers if you choose to stop using our services.

Termination by Us: We reserve the right to suspend or terminate your access to the Platform, at our sole discretion, with or without notice, if we believe you have violated these Terms or if you are misusing the Platform. For example, causes for termination may include: violating our rules of conduct, providing false information, failing to pay any required fees, or engaging in fraudulent or abusive behavior. We may also terminate the Platform or any part of it, or terminate your access, if required by law or due to business needs (such as discontinuing a service).

Effect of Termination: Upon termination of your account or access, these Terms will terminate as an agreement between you and us, except that the provisions concerning

Limitation of Liability, Indemnification, Governing Law, and any other provision which by its nature should survive termination shall survive. If we terminate your access due to a breach of Terms, we may also cancel any future bookings you have made through our Platform (after notifying the affected providers), and you may not be entitled to any refunds of deposits or fees paid, subject to the provider’s policies. We will not be liable to you for compensation or damages due to terminating your access in accordance with these Terms.

12. Changes to These Terms

Le Medica may modify or update these Terms from time to time. If we make material changes, we will provide notice by posting the updated Terms on our Platform and updating the “Last Updated” date at the top, or by sending you a notification (if you have provided an email address). It is your responsibility to review these Terms periodically for any changes. Continued use of the Platform after the updated Terms have been posted constitutes your acceptance of the changes. If you do not agree to the revised Terms, you should stop using the Platform and, if needed, terminate your account. No change will retroactively modify dispute resolution provisions for any disputes already filed or arising before the change, unless you agree to it.

13. Governing Law and Dispute Resolution

Governing Law: These Terms and any disputes arising from or related to the Platform or services shall be governed by and construed in accordance with the laws of Malaysia, without regard to its conflict of law principles. We operate in Malaysia and Thailand, and comply with applicable laws in those jurisdictions; however, to provide consistency, we choose Malaysian law as the governing law for these Terms. If you are using the Platform from Thailand or another country, note that you may also have certain consumer protections under local law. These Terms do not limit any consumer rights you are entitled to under the mandatory laws of your country of residence.

Jurisdiction: You agree that any legal action or proceeding arising out of or relating to these Terms or your use of the Platform shall be brought exclusively in the courts of Malaysia, unless otherwise required by law (for example, if a court in Thailand would mandate jurisdiction there for a matter arising in Thailand). You consent to the personal jurisdiction of these courts and waive any objection on grounds of venue or forum non conveniens, to the extent permitted by law.

Dispute Resolution: We encourage you to contact us first in case of any dispute or issue (our customer service can often help resolve most concerns). Depending on the nature of the dispute, we may suggest mediation or another form of alternative dispute resolution to reach an amicable settlement. If a dispute proceeds formally, it will be

subject to the jurisdiction and governing law above. Any claim or cause of action you have arising out of the use of the Platform or these Terms must be filed within one (1) year after such claim arose, or it will be permanently barred, unless a longer period is required by applicable law.

14. Miscellaneous

  • No Waiver: Our failure to enforce any right or provision of these Terms shall not
constitute a waiver of such right or provision. Any waiver must be in writing and signed by our authorized representative.
  • Severability: If any provision of these Terms is held to be invalid, illegal, or
unenforceable by a court of competent jurisdiction, that provision shall be eliminated or limited to the minimum extent such that the remainder of the Terms will remain in full force and effect.
  • Entire Agreement: These Terms, along with our Privacy Policy and any other
policies or guidelines posted on our Platform, constitute the entire agreement between you and Le Medica regarding your use of our services, and supersede any prior agreements or understandings, whether written or oral, relating to the same subject matter.
  • Assignment: You may not assign or transfer your rights or obligations under
these Terms to any third party without our prior written consent. Le Medica may assign these Terms (or any rights and obligations hereunder) to an affiliate or in connection with a merger, acquisition, reorganization, or sale of assets, or by operation of law or otherwise. These Terms will bind and inure to the benefit of the parties, their successors, and permitted assigns.
  • Third-Party Rights: These Terms do not confer any rights on any third party,
except that our affiliates and subsidiaries, and the officers, directors, employees, and agents of Le Medica and its affiliates are third-party beneficiaries of the limitations of liability and indemnification provisions in these Terms.
  • Language: These Terms may be provided in multiple languages for
convenience. In case of any inconsistency or conflict between the English version and any translation, the English version shall prevail to the extent not prohibited by local law.
